1. Introduction

Welcome to neurodrift.ai (the “Site”). The Site is operated by NeuroDrift Inc., a corporation incorporated under the laws of Delaware, USA, with its registered office at 8 The Green, Ste A, Dover, DE 19901, USA (“NeuroDrift”, “we”, “our”, or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of:

• the Site,

• any content, materials, or resources made available on or through the Site, and

• where applicable, any online products, demos, or services we expose through the Site (collectively, the “Services”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

Note: Separate written agreements (e.g., MSAs, SOWs, or subscription contracts) with our customers will prevail over these Terms to the extent of any inconsistency.

2. Eligibility & Use of the Site

2.1 Eligibility
You may use the Site only if you:

• are at least 18 years old (or the age of majority in your jurisdiction), and

• have the legal capacity to enter into a binding contract.

If you are using the Site on behalf of a company or other legal entity, you represent that you are authorized to accept these Terms on its behalf.

2.2 Permitted Use
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for:

• learning about NeuroDrift and our offerings,

• evaluating our Services, and

• communicating with us about potential or existing engagements.

You may not use the Site for any unlawful purpose or in violation of these Terms.

3. Changes to the Terms or the Site

We may update these Terms from time to time. When we do, we will post the updated version on this page and update the “Last updated” date above.

Your continued use of the Site after the updated Terms become effective constitutes your acceptance of those changes.

We may also modify, suspend, or discontinue any part of the Site or Services at any time, with or without notice.

4. Accounts and Security (if applicable)

Some parts of the Site or certain Services may require you to create an account or receive login credentials.

You agree to:

• provide accurate and complete information,

• keep your credentials confidential, and

• promptly notify us at connect@neurodrift.ai of any unauthorized use or suspected breach of security.

You are responsible for all activities that occur under your account.

5. AI & Technical Services – Special Disclaimers

NeuroDrift builds and operates AI-driven systems (including voice AI agents, automation, and data/ML platforms) for enterprise clients. Where you access any demos, sandboxes, or AI-related features via the Site:

5.1 No Guaranteed Accuracy
AI outputs (including text, audio, or other generated content) may be incorrect, incomplete, or out of date. You must not rely on these outputs as professional advice (legal, financial, medical, etc.). You remain solely responsible for verifying and using any outputs.

5.2 No Sensitive Data
You agree not to input or upload:

• passwords or authentication secrets;

• financial account numbers;

• health information;

• government IDs;

• personal data of children; or

• any data you are not legally authorized to share.

5.3 Your Responsibility
You remain responsible for:

• the prompts, data, or content you input,

• how you use any outputs, and

• compliance with all laws and internal policies applicable to your use of AI systems.

6. Intellectual Property

6.1 Our IP
All content on the Site (including text, graphics, logos, icons, images, software, documentation, and design) is owned by or licensed to NeuroDrift and is protected by intellectual property laws.

Except as expressly allowed in these Terms, you may not:

• copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any content on the Site;

• remove any proprietary notices or labels.

6.2 Your Content
If you submit or upload any content (e.g., forms, feedback, or demo data) via the Site (“User Content”), you grant NeuroDrift a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and process that User Content solely for:

• providing the Site and Services,

• improving and securing our systems, and

• complying with legal obligations.

You represent that you have all rights needed to grant this licence and that your User Content does not infringe any third-party rights.

6.3 Feedback
If you provide suggestions, comments, or other feedback about the Site or Services (“Feedback”), you agree that we may use it without restriction and without compensation to you.

7. Acceptable Use & Prohibited Activities

You agree not to:

• use the Site or Services in any manner that violates any applicable law or regulation;

• attempt to gain unauthorized access to any systems, networks, or data;

• introduce malware, viruses, or other harmful code;

• engage in scraping, crawling, or automated data collection not expressly permitted by us;

• reverse engineer, decompile, or attempt to derive source code from any part of the Site or Services, except to the extent permitted by law;

• misrepresent your identity or affiliation with any person or entity;

• interfere with or disrupt the operation of the Site or Services.

We reserve the right to suspend or terminate access if we reasonably believe you are violating these Terms.

The Site may contain links to or integrations with third-party websites, products, or services (for example, cloud providers, communication platforms, or analytics tools).

We do not control and are not responsible for:

• the content, privacy practices, or policies of any third-party site or service; or

• any loss or damage arising from your use of them.

9. Disclaimers

To the maximum extent permitted by law:

• The Site and Services are provided on an “as is” and “as available” basis.

• We do not make any warranties or representations (express or implied) regarding accuracy, reliability, non-infringement, or fitness for a particular purpose.

• We do not guarantee uninterrupted or error-free operation of the Site or Services.

If you are a consumer in a jurisdiction that does not allow the exclusion of certain warranties, some of the above exclusions may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by law:

• NeuroDrift and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or data), arising out of or related to your use of the Site or Services.

• Our total aggregate liability arising out of or related to these Terms or your use of the Site or Services shall not exceed USD 100 or the amount you paid to us for the relevant Services in the three (3) months preceding the event giving rise to the claim, whichever is greater.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (e.g., liability for fraud).

11. Indemnification

You agree to indemnify and hold harmless NeuroDrift and its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Site or Services,

• your User Content, or

• your violation of these Terms or of any applicable law.

12. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

You agree that the state and federal courts located in Delaware, USA shall have exclusive jurisdiction over any such disputes, and you consent to their personal jurisdiction.

If you are a consumer in a jurisdiction that requires a different forum or governing law, mandatory local consumer protections may still apply.

13. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and NeuroDrift regarding the Site and Services, except where superseded by a separate written agreement.

• Severability: If any provision is found invalid, the remaining provisions shall remain in full force and effect.

• No Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor.
